Welcome to the website of Siudy Flamenco Company (d/b/a "Siudy Flamenco"), a Florida non-profit corporation. By accessing or using our website at siudyflamenco.org (the "Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Site.

We reserve the right to modify these Terms at any time. Changes will be effective when posted to the Site. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.

2. Use of Website

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.

All content on the Site — including but not limited to text, graphics, logos, images, photographs, video, audio, choreography, course materials, and software — is the property of Siudy Flamenco Company or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

The Siudy Flamenco name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Siudy Flamenco Company. You must not use such marks without our prior written permission.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Site without our prior written consent, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

4. User Accounts

Certain features of the Site may require you to create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of your login credentials and not share your account with any other person.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to disable any account at any time if, in our opinion, you have violated any provision of these Terms.

5. Purchases & Payments

All purchases made through the Site are processed securely via Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's terms of service and privacy policy in addition to these Terms.

All prices listed on the Site are in U.S. Dollars (USD) and are subject to change without notice. We reserve the right to refuse or cancel any order for any reason, including errors in pricing or product information.

6. Class & Event Policies

  • Attendance: Students are expected to arrive on time for all classes and events. Late arrivals may not be admitted if the class or event has already begun.
  • Cancellation: Class and event schedules are subject to change. We reserve the right to cancel, reschedule, or modify any class or event. In the event of cancellation by Siudy Flamenco, registered participants will be notified and offered a credit or refund.
  • Substitution: We reserve the right to substitute instructors or performers at any time without prior notice.
  • Conduct: All participants must conduct themselves in a respectful manner. We reserve the right to remove any participant whose behavior is disruptive, disrespectful, or violates these Terms, without refund.
  • Assumption of Risk: Participation in dance classes and events involves inherent physical risks. By participating, you acknowledge and assume these risks.

7. Online Content & Learning Management System

Siudy Flamenco may offer online courses, video content, and educational materials through the Site (collectively, "Online Content"). When you purchase access to Online Content:

  • You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Online Content for your personal, non-commercial educational use only.
  • You may not download, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Online Content for any purpose without our prior written consent.
  • You may not share your account credentials to allow others to access Online Content you have purchased.
  • Screen recording, audio recording, or any other form of capturing Online Content is strictly prohibited.
  • Access to Online Content may be time-limited or credit-based as specified at the time of purchase.

We reserve the right to revoke access to Online Content if these terms are violated.

8. User Conduct

When using the Site or participating in Siudy Flamenco activities, you agree not to:

  • Harass, threaten, or intimidate any other user, instructor, performer, or staff member.
  • Record, photograph, or capture video or audio of any class, rehearsal, performance, or event without express written permission.
  • Post or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, vulgar, obscene, or otherwise objectionable.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Use the Site to advertise or solicit business without our prior written consent.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, SIUDY FLAMENCO COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIUDY FLAMENCO COMPANY, ITS DIRECTORS, OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE;
  • ANY CONTENT OBTAINED FROM THE SITE; OR
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SITE OR SERVICES EXCEED THE AMOUNT YOU HAVE PAID TO SIUDY FLAMENCO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless Siudy Flamenco Company, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Site; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, intellectual property, or privacy right; or (d) any claim that your use of the Site caused damage to a third party.

12. Third-Party Links & Services

The Site may contain links to third-party websites or services, including but not limited to Stripe (payment processing), YouTube (video content), and social media platforms. These third-party links and services are not under our control, and we are not responsible for the content, privacy policies, or practices of any third-party websites or services. Inclusion of any linked website does not imply endorsement or approval by Siudy Flamenco.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you hereby consent to the personal jurisdiction and venue of such courts.

14. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any modification or deletion of a provision shall not affect the validity and enforceability of the remaining provisions.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and Siudy Flamenco Company regarding your use of the Site.

16. Waiver

No waiver by Siudy Flamenco of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
